These terms are an agreement between you and Legal review: legal entity name and address ("FoxCue", "we", "us"). They apply when you use foxcue.com, sign up for a FoxCue account at app.foxcue.com, or use the FoxCue app. If you accept them for a company, you confirm you're authorized to bind it, and "you" means that company. If a signed order form conflicts with these terms, the order form wins. Legal review
1. The services
- The FoxCue app: software you use yourself, at app.foxcue.com, to turn your website, docs and connected data into video ideas, cited scripts and videos, edit those videos and track AI citations. You sign up for an account to use it. Legal review
- We may change or improve features over time. If we remove something material that you're paying for, we'll tell you in advance and, where appropriate, offer a pro-rated refund. Legal review
2. Your account
Keep your login details secure and don't share them. You're responsible for activity under your account and for the team members you invite. Tell us promptly if you suspect unauthorized access. You must be at least 18 to use the services.
3. Your content
- Ownership: you keep all rights to what you give us or connect, including site pages, docs, data, recordings, brand assets and logos ("Your Content").
- Licence to us: you grant us a worldwide, non-exclusive licence to host, copy, process and transform Your Content only to provide, secure and support the services for you. This includes sending relevant parts to our subprocessors, such as AI model providers. This licence ends when your content is deleted under our Privacy Policy.
- Your promises: you have the rights and permissions needed for Your Content, including consent from people who appear or speak in recordings. Your Content doesn't infringe anyone's rights or break the law. Anything you connect (Google, YouTube) is used in line with those platforms' terms.
- We don't use Your Content to train our own general-purpose AI models. See the Privacy Policy.
4. AI-generated output
- FoxCue uses AI to draft ideas, scripts, narration and edits ("Output"). Scripts link each claim to the source passage it came from, but a citation shows where a claim came from, not that the claim is correct or complete.
- You are responsible for reviewing Output before you publish it, including product claims, legal or regulatory statements, and anything about third parties. Legal review
- Output may be similar to output produced for others. We don't guarantee it is unique.
5. No guaranteed results
FoxCue is built to help your brand get cited in Google AI Overviews and other AI search tools, but we don't control those systems and can't guarantee citations, rankings, traffic, views or revenue. Any examples, benchmarks or third-party statistics we share are for information only. Legal review
6. Ownership
- What stays ours: FoxCue's software, templates, motion blocks, styles, prompts, know-how and anything we build that isn't specific to you ("FoxCue Materials"). Legal review: ownership of Output and the licence to FoxCue Materials inside Output, for app users
- Stock media, fonts, music or voices from third parties remain subject to their own licences. We'll tell you about any restrictions. Legal review
- Feedback: if you send suggestions, we can use them without obligation to you.
7. Third-party services
The services connect to third-party platforms such as Google Search Console, YouTube and AI model providers. Their terms govern your use of them, and we aren't responsible for their availability or changes. If a platform withdraws access, related features may stop working.
8. Fees and payment
Legal review: entire section; prices aren't final until Jeel signs off
- Prices are shown on /pricing/ or in your order form. Published prices are not an offer until confirmed in an order form or checkout.
- Plans are billed monthly in advance. Fees already paid are non-refundable except as these terms or the law require. Legal review: cancellation, renewal and credit top-up terms for app plans
- Prices exclude taxes, which we add where required.
- If payment is more than [15] days late, we may pause the services after notice.
- We may change prices for future billing periods with at least [30] days' notice.
9. Acceptable use
Don't use FoxCue to:
- break the law or infringe anyone's rights;
- create deceptive, defamatory or harmful content;
- impersonate people;
- process content you don't have rights to;
- scrape or crawl sites you aren't authorized to;
- send spam;
- probe, overload or bypass the security of the services;
- reverse engineer the software (except where the law allows);
- resell the services without our written agreement.
We may remove content or suspend access that breaks these rules, with notice where reasonable.
10. Confidentiality
Each party will protect the other's non-public information with reasonable care, use it only for this agreement, and share it only with people who need it and are bound by similar duties. This doesn't cover information that is public, already known, independently developed, or that must be disclosed by law.
11. Publicity
We won't name you as a customer, use your logo or publish results about you without your written permission.
12. Term, suspension and termination
- These terms apply while you use the services.
- Either party may end a paid plan as set out in §8 or in your order form.
- Either party may terminate immediately if the other materially breaches these terms and doesn't fix the breach within [15] days of notice.
- On termination, you can export Your Content for [30] days, after which we delete it under our Privacy Policy.
- Sections 3 (licence ends on deletion), 4–6, 10 and 13–16 survive.
13. Disclaimers
Except as expressly stated, the services and Output are provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows. Legal review
14. Limitation of liability
To the extent the law allows:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data;
- each party's total liability is limited to the fees you paid us in the 12 months before the claim. Legal review: cap for free trial users
These limits don't apply to your payment obligations, a party's indemnity obligations, or liability that can't legally be limited. Legal review
15. Indemnity
You'll defend and indemnify us against third-party claims arising from Your Content or your breach of §9. We'll defend and indemnify you against third-party claims that the FoxCue software, as we provide it, infringes their intellectual property. Legal review: scope, procedure, exclusions
16. General
- Governing law: Legal review: Ontario, Canada, and applicable federal laws of Canada? Confirm, with exclusive jurisdiction of its courts.
- Changes to these terms: we'll post updates here. For material changes, we'll email customers at least [30] days before they take effect.
- Assignment: neither party may assign this agreement without consent, except to a successor in a merger or sale of the business.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
- Entire agreement: these terms, the Privacy Policy and any order form are the entire agreement.
- Severability and waiver: if a provision is unenforceable, the rest still applies. Not enforcing a provision isn't a waiver.
